1. Billing & Subscription Fees:
The user's subscription/billing cycle starts as soon as RFID tags have been handed over to the end user (if user is not running a demo) or when the user is issued with the first invoice, whichever date is earlier. If the billing cycle does not start on the first of the month, the user will be billed at the end of the first month, the bill being adjusted to reflect the number of days that the service was used. All consequent billing cycles will run from the 1st of the month to the end of the month.
Non-payment will be met with suspension of access to all company users for all Fleetsense digital services. Monthly subscription fees are calculated with the user’s per-RFID charge multiplied by the number of active RFID’s registered in the database, and the total being subject to advertising partner discount if the user qualifies for this discount.
The user shall pay for all subscription fees, and hereby authorises Fleetsense (and its payment processors) to debit the user’s bank account or charge the user’s credit card. The user agrees that all subscriptions are recurring and will renew automatically. The user shall also be solely responsible for paying and remitting to the appropriate tax authorities all applicable taxes (withholding tax, sales tax, services tax, value-added tax (VAT), goods and services tax (GST), etc.) or duties imposed by any government entity or collecting agency except those taxes based on Fleetsense’s net income. In the event the user fails to satisfy its tax and/or duty obligations herein, the user shall reimburse Fleetsense upon demand for any taxes and/or duties paid on behalf of the user and shall defend, indemnify and hold Fleetsense harmless against any claim and/or liability (including penalties) resulting from the user’s failure to pay such taxes and/or duties.

2. Advertising Partner Discounts:
Advertising Partner Discounts are made available to all users who comply to the terms below, regardless of which Fleetsense modules/services the user subscribes to. Fleetsense retains the right to cancel such discount without prior notice if a user does not comply to these terms. Advertising Partner discounts will not commence until such a time as the user fully complies to these terms. Fleetsense retains the right to require evidence from any user to validate compliance to these terms, with failure to provide such evidence potentially resulting in a cancellation of such discount.
a. The user agrees to fix and maintain visibility of a Fleetsense supplied sticker with approximate size of 29 x 11cm on the back of all vehicle units in a way that such stickers are always clearly visible by anyone driving behind a user's vehicle unit.
b. All vehicle units which are registered in the Fleetsense database must carry a sticker as described in point a. above.

3. Cancellation Policy:
The user acknowledges that all subscription fees are charged automatically on a recurring basis until the user cancels their Fleetsense subscription. The user may cancel their subscription by sending an email to support@fleetsense.io stating your intention to cancel your subscription. The user’s subscription will be cancelled on the date that such an email was received by Fleetsense Support. The user will be billed for the days that the service was used between the start of the last billing cycle and when instruction for cancellation was received from the user.

4. Refunds:
It is the user’s responsibility to evaluate Fleetsense, including its features, limitations, and system requirements before opting into a subscription agreement with Fleetsense Ltd. Fleetsense will not issue refunds to customers on the basis of customers not understanding the system requirements, or the presence of compatibility issues, including inadequate internet speed or consistency, or incompatible devices, operating systems, or browser software versions.
Fleetsense subscriptions are payable at the end of a month’s usage. No refunds will be issued. Fleetsense does not offer prorated refunds for cancelled subscriptions. There will be no refunds or credits for partial months of service or refunds for months unused with an open account. All subscriptions are recurring and will automatically renew after the end of each paid subscription period.
